Legal at TRACTIAN
The Legal Department at TRACTIAN is responsible for overseeing all legal aspects of the company’s operations, ensuring compliance with applicable laws and regulations while minimizing risks. This department plays a key role in drafting, reviewing, and negotiating contracts, including client agreements and supplier arrangements, as well as managing corporate governance and intellectual property matters. The Legal team works to safeguard TRACTIAN’s interests, providing strategic counsel and supporting decision-making across the organization. By fostering a proactive approach to legal challenges, the department ensures that TRACTIAN operates with integrity and efficiency, enabling sustainable growth and innovation.
What you'll do
As Corporate Attorney at TRACTIAN, you'll serve as a trusted legal advisor across some of our most critical business initiatives, partnering with executive leadership to support our continued global growth. You'll provide strategic counsel on corporate governance, fundraising, commercial transactions, employment matters, and complex cross-border legal issues while helping the business navigate risk with speed and confidence. From negotiating high-value agreements to supporting investor relations and capital raises, you'll play a key role in enabling smart, scalable business decisions. You'll collaborate closely with leaders across Finance, Sales, People, and Operations to structure deals, solve complex legal challenges, and protect the company's interests. Based out of company’s headquarters at 201 17th St. NW, Suite 200, Atlanta, GA 30363; position can be performed remotely from any U.S. state.
Responsibilities
The Corporate Attorney will be responsible for the following duties:
- Developing and reviewing investor presentations, ensuring legal and financial accuracy;
- Advising on SEC compliance, disclosure obligations, and governance matters;
- Providing legal oversight on fundraising, shareholder communications, and investor inquiries;
- Structuring, drafting, and negotiating contracts for strategic alliances, joint ventures, and high-value deals;
- Ensuring compliance with regulatory requirements and risk mitigation in partnership agreements;
- Collaborating with internal teams on deal structuring, due diligence, and contract execution;
- Drafting, reviewing, and negotiating customer contracts, service agreements, and licensing deals;
- Ensuring contract terms align with business objectives while mitigating legal and financial risks;
- Working closely with sales and finance teams to address liability, indemnity, and dispute resolution terms;
- Drafting and negotiating employment agreements, executive compensation packages, and incentive plans;
- Ensuring compliance with labor laws, non-compete clauses, and confidentiality agreements;
- Providing legal guidance on terminations, severance packages, and dispute resolution;
- Representing the company in high-level meetings with investors, partners, and regulatory bodies; and
- Providing real-time legal and strategic advice during key negotiations.
Requirements
- Education Requirement: Juris Doctor or foreign equivalent
- Experience Requirement: 2 years of experience in corporate attorney, associate in corporate law, or in-house counsel
- Must be admitted to practice law in any U.S. state.
- Quarterly domestic travel of 3 - 4 days at a time to company headquarters in Atlanta, Georgia
Special Skills
Must have work experience in each of the following:
- Counseling market-leading venture capital funds and venture-backed start-ups in Industrial Tech, AI, FinTech, and Digital Assets industries, including overseeing legal due diligence and transactional processes from early stage deal negotiation to signing and closing;
- Advising on complex international transactions and liaising with foreign local counsel in Cayman Islands, Brazil, Mexico, and Canada;
- Drafting the full range of National Venture Capital Association governance documents;
- Drafting, negotiating, and reviewing transaction documents for venture capital funds, private equity firms, and growth stage companies;
- Performing buyside and sell side legal due diligence in connection with mergers and divestitures and assisting with capital raising activities, including priced equity rounds (pre-Seed, Series A, B, and C), secondary sales, and early stage financings via convertible notes and SAFE agreements; and
- Analyzing corporate governance issues, including in connection with venture-backed companies in distressed situations /down rounds.
